Wholesale Terms & Conditions

O2PETS WHOLESALE TERMS & CONDITIONS

These Wholesale Terms & Conditions apply to business customers purchasing O2Pets products for resale or professional use.

By placing a wholesale order with O2Pets, the Buyer confirms that it has read, understood and agreed to these Terms.

1. Supplier

2. Eligible Buyers

Wholesale purchases are available to registered businesses, including pet stores, veterinary clinics, grooming salons, pet-care professionals and other business customers approved by O2Pets.

O2Pets may request business registration details or other information necessary to verify the Buyer.

3. Permitted Retail Sales

The Buyer may resell genuine O2Pets products directly to end customers purchasing the products for personal use.

Products may be sold through the Buyer’s own or operated:

  • physical retail store;
  • veterinary clinic or grooming salon;
  • own website;
  • own social-media accounts;
  • other sales channels approved by O2Pets.

The Buyer must not present itself as an official distributor, exclusive representative or authorised marketplace seller of O2Pets unless such status has been confirmed by O2Pets in writing.

4. Marketplace Sales

The Buyer may not list, advertise, offer or sell O2Pets products through third-party online marketplaces or marketplace-style platforms without the prior written consent of O2Pets.

This restriction also applies to indirect marketplace sales. In particular, the Buyer must not:

  • create or join marketplace listings for O2Pets products without approval;
  • use another person’s or company’s marketplace account to sell O2Pets products;
  • supply products to another reseller where the Buyer knows that the products are intended for unauthorised marketplace sales;
  • use unauthorised dropshipping arrangements for marketplace sales;
  • represent itself as an authorised O2Pets marketplace seller without written approval.

Any exception must be agreed with O2Pets in writing in advance.

5. Resale to Other Businesses

Unless otherwise agreed in writing, wholesale purchases are intended for retail sale to end customers.

The Buyer may not appoint sub-distributors or transfer wholesale distribution rights to another business without prior written approval from O2Pets.

6. Brand and Product Content

O2Pets trademarks, product photographs, descriptions, packaging images and other brand materials may be used only for the legitimate promotion and sale of genuine O2Pets products purchased through authorised channels.

The Buyer must not:

  • modify O2Pets trademarks or branding;
  • make misleading medical, therapeutic or product claims;
  • create packaging or marketing materials that could reasonably be mistaken for official O2Pets materials;
  • register domains, marketplace seller names or social-media accounts that imply ownership of or official representation of the O2Pets brand.

7. Product Information

The Buyer is responsible for ensuring that product information shown to customers is accurate and consistent with the information provided by O2Pets.

Labels, mandatory consumer information and applicable local regulatory requirements must not be removed, obscured or altered.

8. Prices

O2Pets may provide recommended retail prices. Unless otherwise required by a separate written agreement or applicable law, the Buyer remains responsible for determining its own resale prices.

9. Orders and Availability

Wholesale orders are subject to product availability and acceptance by O2Pets.

O2Pets reserves the right to refuse or cancel an order where there are reasonable concerns regarding unauthorised distribution, marketplace sales, misuse of the O2Pets brand or breach of these Terms.

10. Breach of Wholesale Terms

A material breach of the marketplace, distribution or brand-use provisions may result in suspension or termination of the Buyer’s wholesale purchasing privileges.

O2Pets may also refuse future wholesale orders where the Buyer has materially breached these Terms.

11. Changes to These Terms

O2Pets may update these Wholesale Terms from time to time. The version applicable to an order is the version made available to the Buyer at the time the wholesale order is placed.
